Private Equity M&A

Our Private Equity lawyers represent private equity firms and their portfolio companies. We focus on middle-market transactions involving companies with enterprise values of up to $1 billion, helping support sponsors and their portfolio companies throughout the investment lifecycle. 

Our experience representing private equity firms also positions us to advise sellers and management regarding equity rollover and other arrangements typically present in private equity transactions.

We regularly partner with public company clients in connection with strategic transactions, including company sales.   
 
Our public company M&A lawyers guide clients through the company sale process, from the initial evaluation of defensive tactics to the negotiation of deal protection measures to a successful closing. They work alongside our securities lawyers who regularly handle disclosure, compliance, and governance issues for some of the country’s most respected companies.

Cross-Border and International Transactions

Starting in 1916 with our incorporation of The Boeing Company, we have helped domestic and international clients in pioneering ventures. We regularly serve as lead M&A counsel on transactions that involve target companies with operations and assets outside of the United States. We also represent many non-U.S. companies, particularly in Europe and Asia, seeking to acquire or invest in U.S. businesses. In each case, we draw on the knowledge of our traditional M&A practice teams, our International practice, and our vetted network of firms outside of the United States to offer clients a seamless and efficient legal solution for multijurisdictional M&A engagements.
