Danielle provides practical corporate governance and securities regulation guidance for companies of all sizes across a range of industries.
Danielle Benderly counsels public companies on both everyday and esoteric corporate governance and securities regulation compliance issues, including U.S. Securities and Exchange Commission (SEC) reporting, and stock exchange and SEC compliance, as well as insider trading and reporting under Section 13, Section 16, Rule 144, and Rule 10b-5. She works with clients ranging in size from small cap to Fortune 500 companies that span various industries, including retail, semiconductor, software, technology, energy, manufacturing, transportation, and biotech.
Danielle also advises public and emerging growth companies, as well as individual executives, regarding stock options, restricted stock, restricted stock units, performance stock units, other performance-based awards, employee stock purchase plans, and other stock-based executive compensation design, implementation, and interpretation issues.
In addition, Danielle provides efficient and practical securities compliance guidance for companies and investors involved in all types of public and private securities offerings, including initial public offerings, venture capital financings, mergers and acquisitions transactions, private equity transactions, secondary securities offerings, and tender offers.
Danielle is an author of the Executive Compensation Disclosure Handbook and a contributing author of the Public Company Handbook and the IPO Handbook.
