Nina M. Varughese
Nina advises domestic and multinational financial institutions on all aspects of capital market debt transactions, including unsecured and secured lending, project finance, asset securitization, corporate and municipal debt, cross-border financings, private placement financing, second lien, and intercreditor arrangements.
Nina Varughese experience includes representing clients on both unsecured capital market debt transactions and an array of structured finance transactions, including commercial paper conduits, CLOs, and securitized asset-backed securities such as shipping and aircraft financings, RMBS and CMBS transactions, esoteric assets, credit card debt, student loans debt, solar projects and other alternative energy projects, oil, gas, and electric projects, and debt streams from leasing royalties.
Nina is also a bankruptcy attorney specializing in both in-court and out-of-court restructurings representing debtors, secured and unsecured creditors, indenture trustees, and committees of creditors, and has represented financial institutions and corporate clients in state and federal commercial litigation. Drawing on her significant experience advising on bankruptcy refinancing and restructuring matters, Nina advises clients on risk mitigation and litigation prevention.
Nina represents global financial institutions in their capacities as indenture trustees, administrative agents, collateral agents, securities intermediaries, fiscal agents, custodians, depositaries and escrow agents, paying agents, servicers as well as other service providers in connection with a vast array of financial transactions both domestically and internationally, with a particular focus on sovereign debt and Latin American transactions. She also represents Cayman SPV issuers in risk mitigation matters, including winddowns and dissolutions. In preparation for the LIBOR phaseout set for the end of 2020, she advises issuers, trustees, and asset managers on risk mitigation and compliance issues and is a member of the firm's LIBOR task force.
She works on complex debt restructuring in various industries, including biopharmaceutical, oil and gas, lending, and shipping and consumer debt. In corporate finance transactions, she negotiates complex financial agreements, including indentures, administrative agreements, credit agreements, intercreditor agreements, security agreements, agency agreements, escrow agreements, offering memorandums, and legal opinion letters for both traditional unsecured and secured corporate and municipal debt capital market transactions. She also conducts due diligence, manages Uniform Commercial Code (UCC) filings and continuance statements, and advises on title and survey issues.
Nina has authored several articles and presented on various financial transactions and bankruptcy issues.
