Iveth P. Durbin

Iveth Durbin advises public and private company clients on executive and equity compensation arrangements.

Iveth advises public and private company clients on executive and equity compensation arrangements, including executive employment agreements, severance agreements, change in control agreements, and design and compliance issues with restricted stock, restricted stock units, performance-based awards, stock options, employee stock purchase plans and other stock-based or cash-based executive compensation. She provides guidance on executive compensation governance issues and disclosure requirements in proxy statements and periodic or current SEC reports. Iveth's practice also focuses on providing counsel to clients on Rule 144, Rule 10b-5 and Section 16 matters. She also advises clients on equity compensation issues in various public offerings, M&A transactions and private financings. Iveth is a frequent speaker on these topics.

Iveth is a co-author of The Executive Compensation and Disclosure Handbook: A Practical Guide to the SEC's Executive Compensation Disclosure Rules (RR Donnelley, Revised 2010). She is also a contributing author to The Public Company Handbook: A Corporate Governance Disclosure Guide for Directors and Executives. In addition, Iveth regularly contributes to client updates on equity and executive compensation issues.
