Heather Karell

Heather brings a pragmatic approach to the complex challenges her clients encounter in changing legal and regulatory environments.

Heather Karell advises clients on a range of complex transactions involving technology and intellectual property (IP) rights, including structuring and negotiating strategic development, licensing, collaboration, distribution, and procurement deals. Her clients range from emerging companies to public corporations in the technology, energy, life sciences, utility, software, retail, and communication sectors.

Heather often serves as an extension of her clients’ legal teams, collaborating closely with their business, research, and engineering departments. Her clients depend on her experience to navigate issues concerning IP rights, privacy and data protection matters, and emerging technologies, including with respect to generative artificial intelligence technologies. Heather approaches these matters with a practical perspective and works with her clients to create effective and pragmatic solutions and strategies.

Heather’s experience in the energy and utility sectors includes advising clients on matters related to renewable energy projects and structuring and negotiating asset purchase and sale agreements, operation and maintenance agreements, wholesale power supply and interconnection agreements, and procurement agreements. She has additional experience pertaining to utility franchise agreements and pole attachments.
