Elaine Kwak
Elaine represents a range of private company clients, from those that are venture-backed to closely held and family-owned.
While she advises clients across industries, she has worked extensively in the consumer product sector, with a focus on the food and beverage industry.
Elaine collaborates closely with executive teams on commercial and strategic endeavors and counsels clients on commercial contracts and transactions throughout the supply chain, including product development, supply, manufacturing, co-pack, private label, warehousing, marketing, to distribution.
In addition to representing clients on commercial matters, Elaine also assists private companies with restructurings, private equity financings, mergers and acquisitions (M&A), divestitures, corporate governance, and strategic business matters. She regularly provides guidance to investors in limited partnerships and limited liability companies on operating and other governance agreements (including for joint ventures, holding companies, or operating companies).
Maintaining an active pro bono practice, Elaine helps nonprofit organizations to obtain tax-exempt status, and advises such organizations on general corporate matters, entity formation, and commercial contracts.
