Iveth Durbin advises clients on a range of compensation matters, including executive employment agreements, severance agreements, change-in-control agreements, and design and compliance issues with restricted stock, restricted stock units, performance-based awards, stock options, employee stock purchase plans, and other stock-based or cash-based executive compensation. She provides guidance on executive compensation governance issues and disclosure requirements in proxy statements and periodic or current U.S. Securities and Exchange Commission (SEC) reports. Iveth also provides counsel on Rule 144, Rule 10b-5, and Section 16 matters. Additionally, she advises clients on equity compensation issues in various public offerings, merger and acquisition transactions, and private financings. Iveth is a frequent speaker and writer on these topics.
Iveth is a co-author of The Executive Compensation and Disclosure Handbook: A Practical Guide to the SEC's Executive Compensation Disclosure Rules (RR Donnelley, Revised 2010). She is also a contributing author to The Public Company Handbook: A Corporate Governance Disclosure Guide for Directors and Executives.
